Form 15 is the annual return every company must file with the Department of Registrar of Companies each year. The first submission is due within 18 days of the company's incorporation. The return follows a set format and must be filed at least 14 days before the annual return date.
Annual General Meeting
The Annual General Meeting (AGM) is the yearly meeting of a company's shareholders, where the directors report on the company's performance and direction. Shareholders with voting rights vote on matters such as board appointments, executive pay, dividends and the appointment of auditors. The AGM must be held at least two weeks before the annual return date.
Where holding an AGM is not practical, the board may agree to replace the meeting with resolutions. These resolutions can then be submitted with Form 15 to the Registrar General of Companies.
